Conditions of Payment and Sagepay Security Policy
Definitions
“MEL” means Morgoed Estates Limited, its employees and agents and any associated company and the employees and agents of that associated company. It may also refer to clients of MEL.
“We” or “Us” are terms that refer to MEL
“You” means as any user of the website, either tenants of MEL or any other user or all other users
Ground Rent for the purposes of these Conditions of Payment means a recurring rental payment reserved by a lease, conveyance creating a rentcharge or any other document or agreement that reserves a rent or licence fee of any size or payment frequency (including rents of a peppercorn or other nominal amount). It also includes any other costs, fees charges or expenses levied and recoverable by MEL in lieu of or in addition to rent
Miscellaneous Charge means an amount that you owe or potentially owe to MEL that is not Ground Rent
Rent Demand means the latest demand for Ground Rent issued to you by MEL
Total Sum Now Due means the sum to the right of this heading within your Rent Demand which shows the total amount payable by you on the date for payment referred to within the Rent Demand
Other Demand means a demand for a Miscellaneous Charge
Total Sum for Outright Purchase means the sum (including any outstanding Ground Rent) for which MEL is prepared to dispose of interest held by us which creates the Ground Rent and is usually the sum to the right of this heading within your Rent Demand
“Tenant(s) of MEL” means any person who has any legal, equitable or potential interest in any property in which MEL also has a legal, equitable or potential interest and includes agents and representatives of such persons.
“Potential interest” includes situations where MEL is acting as an agent for a third party or where MEL is in the process of purchasing a property.
“Card Payment” means a payment made to MEL via this website or over the telephone

General
1. These Conditions of Payment govern how you make Card Payments to MEL
2. Use of this website is also subject to our Privacy Policy, Terms of Use, and Copyright.
3. Please read these conditions carefully before making a Card Payment to us. By making a Card Payment to us, you agree to be bound by these conditions
4. We reserve the right to make changes to our website, policies, and terms and conditions, including the Conditions of Payment at any time. If any of the Conditions of Payment is deemed invalid, void, or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of any remaining condition
5. These Conditions of Payment must be read in conjunction with the lease conveyance or other document creating the Ground Rent or Miscellaneous Charge and do not exclude any rights or remedies available to either MEL or you under such lease conveyance or other document
6. If you breach these Conditions of Payment and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these Conditions of Payment
Title
7. By making a Card Payment you are acknowledging that you are a Tenant of MEL
8. By making a Card Payment you are acknowledging our title to the Ground Rent or Miscellaneous Charge
9. We make every effort to ensure our Rent Demands and Other Demands are accurate however due to the numbers of properties involved MEL cannot guarantee that all Rent Demands will be accurate. If you think that a Rent Demand is inaccurate, please contact us
Paying Ground Rent via Card Payment
10. If you wish to make a Card Payment to MEL, a minimum charge of the Total Sum Now Due or £10.00 (which ever is the higher amount) plus card fees at cost applies.
11. A minimum charge of £50.00 plus card fees at cost applies to Card Payments made by telephone
12. Where you have made a payment of Ground Rent that exceeds the total sum now due, any excess (after deduction of any costs incurred by us) will be credited to your account for Ground Rent due in the future. If you sell your property during a period of credit, you will be able to recover the unexpired credit from your purchaser under the standard conditions of sale
13. MEL reserves the right to reject or refund any Card Payment without reason for a period of up to 7 days after the Card Payment is made.
14. Once you have made a Card Payment for Ground Rent, any right you may have to a refund is governed by the lease conveyance or other document creating the Ground Rent
15. The acceptance of a Card Payment by MEL is not evidence of a clear rent receipt for the purposes of section 45(2) of the Law of Property Act 1925
Purchasing your Ground Rent
16. When available your Rent Demand will show a Total Sum for Outright Purchase. If Your Rent Demand does not show a Sum for Outright Purchase, either we are unable to dispose of the Ground Rent at the current time (please see Your Questions for possible reasons why) or we will need to provide you with a bespoke quote.
17. Making a Card Payment for the Total Sum for Outright Purchase is not legally binding on MEL and MEL reserves the right to reject any Card Payment made by you in respect of the Ground Rent Purchase Amount until we execute a legally binding contract transfer or conveyance.
18. If you retract a Card Payment after MEL has executed a legally binding contract transfer or conveyance, such contract transfer or conveyance will be considered void and you may be liable for our abortive costs.
19. In the event that MEL does not proceed with a sale of a Ground Rent the Total Sum for Outright Purchase will be refunded to you less any costs incurred by MEL in processing your payment and any outstanding Ground Rent attached to your account.
20. If the Card Payment made is less than the Sum for Outright Purchase we will contact you to give you an opportunity to pay the difference (including any costs). In the meantime we will hold the Card Payment as a pre-payment of Ground Rent.

Paying a Miscellaneous Charge via a Card Payment
22. If you wish to make a Card Payment to MEL after receiving an Other Demand, a minimum charge of the total of the Miscellaneous Charge referred to within the Other Demand or £10.00 (which ever is the higher amount) plus card fees at cost applies.
23. A minimum charge of £50.00 plus card fees at cost applies applies to Card Payments made by telephone.
24. MEL reserves the right to reject or refund any Card Payment without reason for a period of up to 7 days after the Card Payment is made.
25. Once you have made a Card Payment for a Miscellaneous Charge, any right you may have to a refund is governed by the lease conveyance or other document creating the Miscellaneous Charge
Payment Priority
26. Where the Card Payment made is less than the Total Sum Now Due or constitutes a part payment only of an outstanding Miscellaneous Charge, MEL reserves the right to apportion the Card Payment at its absolute discretion. You should be aware that our normal practice is to clear outstanding costs before amounts of rent.
Sale of Goods Act
27. Please be aware that the payment of Ground Rent and the purchase of your Ground Rent will usually not be covered by the provisions of the Sale of Goods Act 1979.
28. The Sale of Goods Act 1979 is unlikely to apply to a Miscellaneous Charge. Where the Sale of Goods Act 1979 does apply to a Miscellaneous Charge these Conditions of Payment do not affect your usual statutory rights.
VAT
29. Ground Rent and the disposal of Ground Rents are not items subject to VAT.
30. Where MEL provides a service that is subject to VAT, VAT will be added as a separate item on the Rent Demand or Other Demand or an amount owing will be referred to as being “plus VAT” or “inclusive of VAT” as appropriate.
Card Payments made from outside England and Wales
31. Any Card Payments made to MEL originating from outside England & Wales are made at your own risk and at your own cost.
Liability and Consequential Loss
32. MEL will not be held liable for the failure of any Card Payment nor for any consequential loss (including our subsequently levying charges for non-payment) arising from the failure of any Card Payment
Applicable Law
33. These conditions are governed by and construed in accordance with the laws of England and Wales.

35. Our Payment Service Provider is Sage Pay (formerly Protx) – the largest independent payment service provider (PSP) in the UK and Ireland.
